JASMIN Society Rules of the Society

Article 1. Name and Secretariat

  1. The society will be named the "JASMIN (Japanese Association of Sirolimus Medical Investigation Network) Society."
  2. The main Secretariat of the Society will be located in the Center for Medical Innovation Division of Pioneering Advanced Therapeutics, Niigata University Medical & Dental Hospital.

Article 2. Purpose

The Society supports the expansion of sirolimus use for new diseases and the regulatory approval of sirolimus for new administrations and dosages. It further seeks to enlighten healthcare practitioners in multiple fields about the side effects of sirolimus and to educate young researchers engaged in basic and clinical research involving sirolimus.

Article 3. Activities

The Society will engage in the following activities to achieve the purposes of the preceding Article.

  1. Convening of academic meetings
  2. Online and other communication of new findings on the clinical trials, side effects, administration, and dosage of sirolimus
  3. Encouragement of research and commendation of research achievements
  4. Online consultation concerning basic and clinical research into sirolimus

Article 4. Members

  1. The members of the Society are categorized as follows.
    1. Regular members: Physicians, researchers, and other parties who support the purpose of the Society
    2. SSupporting members: Individuals or groups that support the purpose and activities of the Society.
      Supporting members may participate in academic meetings and other activities.
  2. New members of the Society will be approved by the Chairman following a screening by the Board of Governors.

Article 5. Officers

  1. The Society will appoint the following Officers.
    1 Chairman
    1 Vice Chairman
    A number of Governors
    1 Accounting Auditor
  2. The Chairman and Vice Chairman will be elected by ballot from among the Governors and will represent the Society and supervise its affairs.
  3. Governors will consist of regular members. Following recommendations by Governors, new Governors will be determined and appointed by the Chairman through consultation with and approval by the Board of Governors.
  4. The terms of office of the Chairman and Vice Chairman will not exceed a maximum of five (5) years.
  5. The term of office of a Governor will not exceed a maximum of three (3) years.

Article 6. Board of Governors

  1. The Board of Governors will consist of the Chairman, Vice Chairman, and Governors.
  2. Meetings of the Board of Governors will be convened by the Chairman as required and will be chaired by the Chairman.
  3. A meeting of the Board of Governors will be made valid by the attendance of a majority of its constituent members (including those attending via letter of designation), and its proceedings will be determined by a majority of the attendees.
  4. The Board of Governors may also make decisions through round-robin deliberations conducted by e-mail. However, screening of the Chairman and Governors may not be carried out through e-mail-based deliberation.

Article 7. Academic Meetings

  1. The Society will conduct an academic meeting once a year for the promotion of basic and clinical research.
  2. Academic meetings will be planned and decided by the Board of Governors, with the practical operation of meetings entrusted to the Center for Medical Innovation Division of Pioneering Advanced Therapeutics, Niigata University Medical & Dental Hospital.

Article 8. Encouragement of Research and Commendation of Research Achievements

  1. The Society may perform a commendation of research that has yielded achievements and may subsidize research expenses.
  2. Methods of selection will be determined by the Board of Governors.

Article 9. Fiscal Year

  1. The fiscal year of the Society will be from April 1 of each year to March 31 of the following year.
  2. The Secretariat will manage the settlement of accounts and the budget of the Society and will obtain approval for these from the Board of Governors.

Article 10. Membership Dues

  1. Expenses of the Society will be covered by membership dues and by participation fees for academic and other meetings.
  2. Annual membership dues will be 1,000 yen for members and 10,000 yen for supporting organizations.
  3. The expense budget will be managed by the Secretariat, audited by the Accounting Auditor, and approved by the Board of Governors.

Article 11. Counselors

  1. The Society may appoint Counselors.
  2. Counselors will be recommended by the Chairman and approved by the Board of Governors.
  3. Counselors may attend meetings of the Board of Governors and state opinions. However, Counselors will not hold voting rights.

Article 12. Resignation of Members

  1. Members who wish to resign from membership must notify the Secretariat to that effect.
  2. Membership will be withdrawn from an individual member in the event of death.

Article 13. Amendment of the Rules of the Society

Amendment of the Rules of the Society requires approval by 2/3 or more of the Board of Governors at a meeting with a majority of the Governors in attendance (including those attending via letter of designation).

Supplementary Provisions

  1. These Rules will enter into effect from the day of establishment of the Society (the day on which the candidates for Governors first gathered and determined the establishment and the Rules of the Society).
  2. Officers at the time of establishment of the Society will be as follows (determined by ballot on the day of gathering).

Supplementary Provisions ​- These Rules will enter into effect on September 17, 2020 with the approval of the board of governors.

Supplementary Provisions ​- These Rules will enter into effect on February 17, 2021.
Supplementary Provisions-This constitution will come into effect on April 30, 2021.
